These Terms shall be governed by the laws of the State of Wyoming, without regard to its conflict of law principles. To the extent any dispute is not subject to arbitration under Section 17, the parties consent to the exclusive jurisdiction of state and federal courts located in Wyoming.
⚖ Please Read This Section Carefully This section requires you to resolve most disputes through binding individual arbitration rather than in court. It also includes a class action waiver.
Before initiating formal proceedings, contact us at [email protected] and describe your concern. We will use good-faith efforts to resolve informally within 30 days. This is a prerequisite to arbitration or court proceedings.
If informal resolution fails, disputes shall be resolved by final, binding arbitration administered by JAMS pursuant to its Streamlined Arbitration Rules, before a single neutral arbitrator in Sheridan, Wyoming (or via telephonic/video for claims under $25,000). Judgment may be entered in any court of competent jurisdiction.
If the filing fee exceeds the lesser of $250 or the cost of an equivalent lawsuit, we will pay the difference upon your request to JAMS. Each party bears its own attorneys' fees unless applicable law or JAMS rules provide otherwise.
YOU AND THE COMPANY AGREE THAT EACH MAY ONLY BRING CLAIMS IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION OR PROCEEDING. THIS CLASS ACTION WAIVER IS AN ESSENTIAL PART OF THIS ARBITRATION AGREEMENT AND CANNOT BE SEVERED FROM IT.
Either party may elect to bring individual claims in a small claims court of competent jurisdiction, provided the claim qualifies and remains an individual non-class claim throughout the proceeding.
You may opt out of arbitration and the class action waiver by sending written notice via certified mail, postmarked within 30 days of your first use of the Website, to:

Any claim must be commenced within one (1) year after the cause of action accrues or it is permanently barred.
Notices from us will be sent to the most recent email address on file and are deemed delivered upon transmission. You are solely responsible for maintaining a current email address. All notices from you to us must be sent to [email protected]. Legal or formal claim notices should also be sent by certified mail to 1309 Coffeen Ave, Suite #1200, Sheridan, WY 82801.
These Terms, together with our Privacy Policy and any additional agreements, constitute the entire agreement between you and the Company, superseding all prior agreements.
If any provision is found invalid or unenforceable, it shall be modified to the minimum extent necessary or severed, with remaining provisions continuing in full force and effect.
Our failure to enforce any right or provision shall not constitute a waiver. Any waiver must be in writing and signed by an authorized representative.
You may not assign your rights without our prior written consent. We may freely assign these Terms in connection with a merger, acquisition, or asset sale.
We will not be liable for failure or delay due to causes beyond our reasonable control, including acts of God, epidemics, government actions, power outages, or failures of third-party providers.
